1. Acceptance of Terms

By creating an account or using OMNIX, you confirm that you are at least 13 years of age (or 16 in the EU/UK), that you have the legal capacity to enter into these Terms, and that you agree to comply with them. If you are using OMNIX on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

OMNIX is an AI-powered personal assistant and productivity platform that provides:

• Conversational AI with persistent memory across sessions
• Multi-model AI routing (Google Gemini, Anthropic Claude, OpenAI GPT, DeepSeek, and others)
• AI image generation capabilities
• File analysis and document processing
• Session management and workspace organisation tools
• Billing and subscription management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account.
• We reserve the right to suspend accounts that violate these Terms.
• You may not create multiple accounts to circumvent usage limits or bans.

4. Acceptable Use

You agree not to use OMNIX to:

• Generate, distribute, or promote illegal content, including content that infringes intellectual property rights.
• Harass, threaten, or harm any person or group.
• Create or distribute malware, spam, or phishing content.
• Attempt to reverse-engineer, scrape, or extract training data from our AI systems.
• Circumvent rate limits, credit systems, or other usage controls.
• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Impersonate any person, company, or entity.
• Generate content that sexually exploits minors.

5. AI-Generated Content

You understand that OMNIX uses third-party AI models to generate responses. As a result:

• Accuracy: AI-generated content may be inaccurate, incomplete, or outdated. Do not rely solely on OMNIX for medical, legal, financial, or safety-critical decisions.
• Ownership: Subject to these Terms, you retain ownership of content you create using the Service. AI-generated responses based on your prompts are provided for your use.
• Responsibility: You are responsible for how you use AI-generated content. We are not liable for decisions made based on AI outputs.
• No professional advice: Nothing from OMNIX constitutes professional legal, medical, financial, or other advice.

6. Payment and Credits

• Subscriptions: Paid plans are billed in advance on a recurring basis. Subscription fees are non-refundable except as required by law.
• Monthly word quota: Each plan includes a monthly word allowance that resets on the 1st of each month (UTC). Unused quota does not carry over.
• Bonus word packs (wallet): You may optionally purchase one-time top-up packs to add bonus words to your balance. These are processed as a single non-recurring payment. We will never charge you automatically when your plan quota is exhausted — top-ups are strictly opt-in.
• Bonus balance usage: Bonus words are drawn after your plan quota is exhausted. Bonus balances do not expire and are non-refundable once purchased.
• Credits: Reasoning, image, and battle credits are consumed per request. Unused credits do not expire within a billing period and are non-transferable.
• Free tier: We offer a free tier with limited usage. We reserve the right to modify free tier limits at any time.
• Payment processing: Payments are handled by Stripe. By subscribing or purchasing a top-up pack, you agree to Stripe's Terms of Service.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Bonus word balances are not affected by subscription cancellation.
• Price changes: We will give at least 30 days' notice before changing subscription prices. Top-up pack prices may change at any time.

7. Data and Privacy

Your use of OMNIX is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

8. Intellectual Property

The OMNIX platform, including its code, design, branding, and documentation, is our intellectual property and is protected by applicable laws.

• We grant you a limited, non-exclusive, non-transferable licence to use the Service for personal or internal business purposes.
• You may not copy, modify, distribute, sell, or lease any part of the Service.
• Content you create and input remains your property, subject to the licence you grant us to operate the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIX AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless OMNIX and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other legitimate reason, with reasonable notice where possible. Upon termination, your right to use the Service ceases immediately. You may request export of your data before or within 30 days of termination. Provisions that by their nature should survive termination will do so.

13. Governing Law and Disputes

These Terms are governed by applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation first. If unresolved, disputes shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via in-app notification or email at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
